This Compila
Ltd Re-seller agreement and the terms herein supersede
and replace all previous such agreements and apply
to all parties who wish to re-sell Compila Ltd's
services.
The programme is designed to enable participating
companies to sell Internet services to their respective
clients and end-users.
Participating
Companies
Typically,
participating companies will be established PC
re-sellers, and will need to demonstrate an ability
to provide first line technical support to their
end-users. Compila Ltd reserves the right to decline
applications to participate in the re-seller programme.
Re-sellers
will be permitted to sell those Compila Ltd products
and services advised to them.
Terms
and Conditions
1.
Ordering of Services from Compila Ltd.
The Re-seller
will be required to place an order to Compila
Ltd by post, e-mail, FAX or by use of the online
order facility for each service being re-sold.
No service will be provided until Compila Ltd
are in receipt of these written instructions.
(Please note that the first choice of Username
may not always be available due to the fact that
it may already be in use.)
2.
Payment.
Where
payment is received with the account application
and such applications are received by 4:30pm then
the required services will be set up by 7:30pm
that same day on a best endeavours basis. If payment
is not received with order then such orders will
be held in a pending file until payment is received.
3.
Billing/Invoicing.
The re-seller
will be sent a receipted invoice upon receipt
of payment for services ordered from Compila Ltd.
Compila Ltd will not invoice the re-seller's End-User
client. Responsibility for collection of payment
from, and invoicing of the re-seller's End-User
client remains with the re-seller.
4.
Support.
Re-sellers
will be expected to provide first line support
to their end-users in respect of Compila Ltd products
and services sold through this re-seller agreement.
Compila Ltd's Help Desk will provide second line
back-up support to the Re-seller. Where a re-seller
elects not to provide first line support then
the re-seller buy price will only apply to the
first year's subscription. Renewals in subsequent
years will fall due at the full Compila Ltd End
User price and be paid directly to Compila Ltd
by the re-seller's End User client.
5.
Cancellation of Services.
All services
are provided on a minimum of 12 month's rolling
contract. Except where the re-seller has elected
not to provide first line support, all services
will continue to be charged for and provided to
each of the re-seller's End user clients until
such time as the re-seller provides Compila Ltd
with 30 days notice of cancellation, in respect
of each such End User client. Where the re-seller
has elected not to provide first line support
all contracts will cease at the end of 12 months,
and the re-seller's End User client will be invited
to renew their contract directly with Compila
Ltd.
6.
Renewals.
Except
where the re-seller has elected not to provide
first line support all contracts for delivery
of Compila Ltd services to the re-seller's End
User clients are automatically renewed at the
end of a 12-month minimum contract. The re-seller
will receive an invoice from Compila Ltd for the
amount due in respect of such renewals in advance
of the due date. The amount due must be paid to
Compila Ltd on or before the due date otherwise
service may be disconnected. The re-seller will
continue to be liable for charges due in respect
of services delivered to their End User clients
until such time as a valid notice of cancellation
for each such End User client has expired.
7.
Notice Periods.
The minimum
notice period for changes in the terms herein
or specification or price or withdrawal of products
or will be 30 days.
Either
party may give the other 30 day's notice to terminate
this agreement. Upon termination Compila Ltd will
continue to deliver service to each of the re-seller's
End User clients until expiry of the period for
which payment has been received in respect of
each such End User. After such time the re-seller's
End User clients will have the option to continue
to receive service upon payment directly to Compila
Ltd of the then prevailing End User Price for
the required services.
Compila
Ltd's standard terms and conditions shall govern
all other aspects of participation in the Compila
Ltd re-seller programme.
The re-seller's
end-users will, as a minimum, be governed by Compila
Ltd's standard terms and conditions. The re-seller
may set more stringent terms if it so wishes.
No deviations
from these terms and conditions will be permitted
unless agreed in writing by Compila Ltd.
